VP, Corporate Development
The VP, Corporate Development will have primary responsibility for running, supporting and managing merger and acquisition (M&A), strategic partnership, and divestiture initiatives to enable Covetrus to accelerate its transformation to a company that drives demand and success for veterinary care. Responsibilities will cover the entire life-cycle from target identification through deal execution and transitioning (in a highly engaged manner) to a post-deal integration team. Furthermore, the individual will partner with leadership teams to assist with driving business direction and strategy generally with an emphasis on an M&A and strategic partnership perspective.
This individual is expected to build strong relationships and utilize a consultative and collaborative approach to create strong partnerships within and among the business units. The individual will facilitate strategic dialogue among multifunctional teams to identify and analyze opportunities, to assemble and review market and competitor analyses, to develop economic and financial models and analyses, to support and drive M&A execution, and to align disparate company resources toward the company's overall objectives. He/she is expected to create lasting, effective processes that maximize the impact of the Corporate Development group.
Lastly, the individual will lead through personal values consistent with Covetrus' corporate values. He/she will maintain rapport, credibility, trust, and respect throughout the organization at all levels, and be viewed as a team player with a passion for excellence.
Deal Sourcing & Market/Competitive Intelligence Responsibilities:
Understand and stay current with the animal health industry, the Covetrus ecosystem, including the competitive landscape, industry news, trends, and investment/acquisition activity.
Actively participate in industry networking, conferences, and reviews with investment banking and private equity community as well as the customer and supplier community to identify and screen potential acquisition opportunities.
Facilitate preliminary evaluation of targets for overall attractiveness, including strategic fit, economics, and actionability.
Conduct research and analysis in support of identification of attractive and actionable targets.
Strategy Formation Responsibilities:
Drive/support identification of new growth initiatives (organic, partnerships, and M&A), and recommend specific investment opportunities to improve growth, margin and durable advantage.
Develop quantitative and qualitative analyses to drive business decision-making.
Structure, analyze, and present key strategic analyses and findings.
Acquisition, Divestiture and Partnership Execution Responsibilities:
Work with senior management on transaction strategy and execution by analyzing various aspects of potential transactions, including deal structure, operating considerations, and risks and opportunities.
Quarterback multifunctional teams (e.g. Sales, Product Management, Marketing, Human Resources, Finance, Communications) to conduct preliminary and definitive due diligence efforts.
Lead negotiations on specific transactions, maximizing the benefits for Covetrus while maintaining a relationship with the target company's leadership as they become part of Covetrus.
Manage external advisor and vendor relationships as required for deal execution and associated research support.
Support, lead, and direct both quantitative and qualitative investment case analyses, including valuation (e.g. comparables, discounted cash flow, internal rate of return), projected synergy cases, and strategic rationale. Guide and support business units in preparing and presenting investment cases, including Board-level presentations.
Ensure success of acquisition integration by providing appropriate guidance to business teams.
8+ years of relevant work experience, ideally in an investment banking, private equity, venture capital, management consulting, or corporate environment with meaningful acquisition and/or investment activity.
Experience would specifically include analyzing new business opportunities and participating in acquisition, strategic investment, partnership, alliance or other related types of discussions.
Demonstrated success in working with "C" level executives, senior business leaders and executives, and professional stakeholders, whether internal or external.
Strong modeling, deal execution, managerial finance/accounting understanding is required. Specific experience in new business case development, financial modeling, and project management is preferred.
Technology industry knowledge is preferred.
Healthcare, animal health/veterinary industry knowledge is a nice to have but not a requirement.
Education: BA/BS degree; MBA is a plus.
