The Senior Corporate Development Analyst has responsibility for a multitude of the responsibilities of Corporate Development ("CD") consistent with the CD Charter with particular emphasis on value-creating transactions and projects managed by CD including domestic and international transactions and internal CD-managed projects. Specifically, this position will manageacquisitions, divestiture and other strategic transaction(including organic projects) processes, establish the preliminaryacquisition/financialmodelwithguidancefromrelevantbusinessunit leadership and the Corporate Finance function. Preparesthe necessary materialstobrief management and receiveexecutiveleadership approvaltoproceedwithtransactions.Makes recommendationsforpricenegotiation,coordinatesduediligenceactivitieswithinternaland external subject matter experts,assistswith thecoordinationofdealdocumentsandfinalizestransactionmodel.Engagesin theintegrationprocessby coordinatingnecessarymeetingsensuringbusinessplanisproperlyimplemented. In addition, Sr Corporate Development Analyst I, Corporate Development will have a significant role in providing industry analytics and strategy as a service to the business units.
Essential Responsibilities and Accountabilities
Project Management Skills: Excellent project management skills are essential as the role will assemble deal andduediligenceteamsandcoordinaterelated activities including substantive review of due diligence and target financials.Ensuredue diligence is completed in coordination withinternal and externaldealteammembers and experts.
Transaction Management: Prepare memos, models and presentations for senior management (CEO, CFO, executive leadership, business leaders) to include items such as, but not limited to, strategic review of particular business segments, regular status updates, memos requesting permission to sign LOI, close, etc. and board and strategy committee presentations.
FinancialAnalysis:EstablishacquisitionmodelsforreviewbyCorporateFinance and business unit leadership.Presentmodeland businessplantoexecutivemanagementforapproval.Engageinpreliminarypricenegotiations.Maintain deal modelthrough the completion of the transaction in concert with deal team including business unit leadership.
Integration:Ensureintegrationplan(systems,financialreporting,IT, HR, legal, etc.)isbeingproperlyimplemented.Engageincalls/meetingswithlocalteamto insure a smooth integration.
Pipeline Management / Assessment: Review and assess potential opportunities from a myriad of sources. Deep knowledge of the company's strategy and focus areas is a requirement to make informed recommendations and assessments in concert with executive leadership. Constant maintenance of strategy documents and deal funnel with relevant criteria that are most meaningful to Covetrus, a requirement.
Landscape/IR: Responsibility for industry research for with the goal of identifying value creating opportunities which will drive innovation and growth. Defining and Tracking KPI's in conjunction with Investor Relations.
Preparation for Board & Board Committee(s): Prepare materials necessary for executive management, board of directors and required committees (Strategy, Investment, etc).
Value Capture: Explore unidentified business opportunities ( "white space") and partner closely with the Corporate Finance FP&A team on Value Capture modeling and other functions as needed.
Qualifications and Education Requirements
Typically, at least 7-8 years of experience.
Excellent project management skills, including project structuring and managing multiple projects independently.
Bachelor's degree in business, finance or related field is required.
Investment banking and/or prior corporate development experience is important.
Excellent verbal and written communication skills.
Process oriented with time management skills to adhere to project timelines and deliverables.
Financial modeling skills a requirement.
Prior project management experience is a plus.
Ability to deliver meaningful reports and presentations compiled from various information sources.
Strong interpersonal skills to effectively manage relationships across the organization and with external partners.
Capable of working collaboratively in a team environment.
Maturity and ability to work with highly confidential information and display tact and discretion.
This position will require the use of various collaboration tools to connect with teams across geographies.
Some travel as required to support plans and initiatives.
