The Senior Benefits Attorney will be responsible for providing legal support to the Cleveland-Cliffs compensation and benefits team. Areas of focus include providing advice on legal issues relating to the administration of executive compensation, retirement and welfare benefit plans. As Senior Benefits Attorney, this individual will have a direct professional reporting line to the Group Counsel, Employment and Labor Relations in the Company's legal department but will also be expected to maintain a close day-to-day working relationship with the Senior Director, Compensation and Benefits. The Senior Benefits Attorney will also be expected to assist other members of the Company's legal department as may be required from time-to-time based on workloads and overall Company priorities.
Specific Responsibilities/Essential Functions
Provide day-to-day legal support for the Company's compensation and benefits team
Stay abreast of the evolving landscape of state and federal laws relevant to executive compensation, retirement and welfare benefit plans and update Company leadership as appropriate
Assist in the design, structuring, and implementation of executive compensation, retirement and welfare benefit plans
Draft and update plan documents, summary plan descriptions, and other regulated documents relating to executive compensation, retirement and welfare benefit plans
Draft and negotiate benefits-related contracts, including administrative services contracts with plan vendors
Advise on benefits matters relating to the negotiation of collective bargaining agreements
Advise on fiduciary responsibilities with respect to regulated retirement and welfare benefit plans
Serve as the Company's Privacy Officer with respect to its HIPAA-governed health and welfare benefit plans
Represent the Company in routine government review processes, including audits, the IRS' voluntary correction program and the DOL's voluntary fiduciary correction program
Supervise outside counsel and oversee strategy for benefits-related litigation
Assign and manage outside counsel in the performance of complex or voluminous benefits-related legal work
Develop positive and productive working relationships with a cross-functional team of tax, human resources, benefits, finance, auditing, treasury, legal, and other professionals
Other duties as requested and flexibility to work on special projects and fill specific needs in the labor and employment arena and possibly other legal subject areas.
BA/BS in Business Administration, Political Science, or a similar Pre-Law field of study
JD from an accredited law school
Licensed and in good standing to practice law
Minimum of seven years of experience practicing employee benefits law
Strong knowledge of state and federal laws and regulations governing employee benefits, including the Internal Revenue Code, ERISA, ACA, HIPAA, and COBRA
Experience with a wide range of retirement plans, including DB, DC, and multiemployer pension plans
Experience with a wide range of health and welfare benefit plans
Experience with executive compensation plans, including cash and equity incentive plans and deferred compensation plans
Familiarity with benefits in a unionized environment, including multiemployer pensions and VEBAs
Demonstrated ability to work independently with general direction
Demonstrated ability to multi-task on time sensitive projects and manage competing priorities
Demonstrated ability to exercise appropriate judgment and discretion in confidential and sensitive matters
Demonstrated ability to communicate effectively up, down, and across the organization.
Excellent presentation, verbal, and written communication skills.
Strong problem solving and negotiation skills.
